Unul dintre tipurile de leasing este leasingul financiar (leasing). În țara noastră, leasingul a fost utilizat pe scară largă relativ recent. Termenul „leasing” înseamnă „a închiria”.
Un contract de leasing este un acord în temeiul căruia locatorul (denumit în continuare locator) se angajează să achiziționeze proprietatea indicată de chiriaș (denumită în continuare locatar) de la vânzătorul specificat de acesta și să furnizeze locatarului această proprietate pentru o taxă pentru posesie și utilizare temporară. Contractul de leasing poate prevedea că vânzătorul și proprietatea dobândită sunt selectate de către locator.
Un locator (locator) nu poate fi decât un antreprenor individual sau o persoană juridică autorizată să desfășoare activități în domeniul leasingului.

Conceptul unui contract de leasing

Reglementarea legală a contractelor de leasing financiar
Baza legală pentru reglementarea leasingului este capitolul 34 din Codul civil al Federației Ruse, precum și Legea federală din 29.10.1998 N 164-ФЗ „Cu privire la leasing financiar (leasing)”.

Principalele forme de leasing sunt leasing intern și internațional.
La încheierea unui contract de închiriere financiară internă, locatorul și arendașul sunt rezidenți ai Federației Ruse. În implementarea leasingului internațional, locatorul sau locatarul este un nerezident al Federației Ruse. Astfel de acorduri sunt reglementate de legislația internă rusă și documentele de leasing internațional.
Subiectul contractului de închiriere financiară

Caracteristicile contractului de închiriere
Orice acord de afaceri este considerat încheiat dacă se ajunge la un acord între părți, sub toate condițiile importante. Pentru un contract de închiriere, legea specifică o singură condiție - obiectul contractului de închiriere. Nu se consideră încheiat un contract de închiriere financiară, în care nu există date necesare pentru a stabili definitiv proprietatea care trebuie transferată către locatar ca un activ închiriat.
Contractul de închiriere este în scris. Există mai multe modalități de a respecta forma scrisă a contractului. Uneori, un contract de închiriere financiară nu trebuie să fie doar sub forma unui singur document, ci și înregistrat în modul prescris. Contractul de închiriere este oneros. Pentru utilizarea proprietății, locatarul este obligat să plătească plăți de leasing. Plățile de leasing se referă la suma totală a plăților în cadrul unui contract de leasing pentru întreaga perioadă de valabilitate a acestuia. Această sumă include rambursarea tuturor costurilor locatorului legate direct sau indirect de contractul de leasing, precum și veniturile acestuia. Mărimea plăților de leasing este determinată de comun acord de către părți și nu se modifică mai mult de o dată la trei luni.
Părțile vor stabili procedura de efectuare a plăților de leasing de comun acord. Dacă plățile de leasing în condițiile contractului sunt plătite în rate egale cu o anumită frecvență, atunci mărimea și procedura pentru plata lor pot fi furnizate direct în contract. Plățile de leasing pot fi transferate neregulat sau în părți inegale, de exemplu, în funcție de capacitățile financiare ale locatarului. Obiectul contractului de leasing financiar poate fi înscris în bilanțul atât al locatorului, cât și al locatarului. După rezilierea contractului, activul închiriat este restituit locatarului sau devine proprietatea locatarului. Obligațiile părților unui contract de închiriere

Locatorul trebuie să anunțe vânzătorul în scris. Obligația locatorului de a notifica vânzătorului este o condiție esențială a contractului de vânzare a activului închiriat, de aceea este supusă aceleiași forme (simple scrise) ca și cea prevăzută pentru contractul de vânzare a activului închiriat. Pentru aceasta, numele contractatului trebuie să fie indicat în contractul de vânzare. Locatarul și locatarul au dreptul să facă plângeri vânzătorului cu privire la calitatea și completitudinea activului închiriat: locatorul - în calitate de cumpărător în baza contractului de achiziție, locatar - prin referire directă la acest lucru în drept.
Toate cheltuielile pentru reparațiile curente și de capital ale activului închiriat sunt suportate de locatar, cu excepția cazului în care se prevede altfel prin acordul părților.
În baza unui contract de închiriere, locatarul este de acord:
- să accepte bunul închiriat în modul prevăzut de contractul de închiriere;
- să plătească locatorului plățile de leasing în modul și în termenul prevăzut de contractul de leasing;

Contractul de leasing poate prevedea dreptul locatarului de a prelungi termenul de închiriere cu menținerea sau modificarea condițiilor.
Conform regulilor generale de drept civil, riscul de deces accidental și daune materiale este suportat de persoana care deține proprietatea. Dar pentru închiriere, inclusiv leasing, este prevăzută o regulă specială. Odată cu transferul proprietății către locatar, riscul pierderii accidentale și deteriorarea bunului închiriat, deși locatorul rămâne proprietarul său pe întreaga durată a contractului.
Drepturile locatorului
Locatorul are toate drepturile furnizate locatorilor. Dar locatorul este și un investitor. În acest scop, locatarul este obligat să ofere locatorului accesul nestingherit la documentele financiare referitoare la leasing, precum și la obiectul contractului de închiriere. Încetarea contractului de închiriere la inițiativa părții locatorului apare adesea cu încălcarea diverselor obligații: plăți întârziate, funcționare necorespunzătoare sau condiții de depozitare. Cesiunea drepturilor în baza unui contract de închiriere
Uneori pe durata contractului de închiriere apar situații care necesită transferul drepturilor asupra uneia dintre părțile la tranzacție. (eng. a închiria - a închiria) - un contract civil în baza căruia locatorul (locatorul) este de acord să achiziționeze proprietatea indicată de locatar (locatar) de la vânzătorul specificat de acesta și să ofere locatarului această proprietate pentru o taxă pentru posesie temporară și utilizare pentru afaceri scopuri.
D.f.a. este un tip de închiriere, iar prevederile generale ale contractului de închiriere i se aplică. Particularitatea unui contract de leasing financiar este că subiectul său este proprietatea dobândită special de locator pentru a-l închiria.
Sensul unui astfel de acord pentru chiriaș este. capacitatea de a obține echipamente scumpe fără a plăti imediat costul complet (adică, în esență, pe credit) și pentru producător-vânzător, dimpotrivă, capacitatea de a obține imediat costul complet al echipamentului în detrimentul locatorului intermediar (locator). Prin urmare, băncile, alte organizații de credit sau organizații create de acestea, care primesc astfel o oportunitate profitabilă de a investi fonduri gratuite, adică. finanțarea esențială a acordului.

Leasingul a găsit recunoaștere în practica judiciară a multor țări care nu au o reglementare legislativă specială (SUA, Germania, Japonia etc.), dar în unele țări au fost emise acte de reglementare speciale privind relațiile de leasing (Franța - legea din 2 iulie 1966; Anglia - Legea închirierii din 1965). Diseminarea pe scară largă a acestui tip de acord a dus la dezvoltarea Convenției privind leasingul financiar internațional, semnată la Ottawa la 28 mai 1988. Principalul scop este eliminarea barierelor legale ale acesteia.
Practica mondială și doctrina disting două forme de leasing: leasing financiar, uneori numit leasing autentic și operațional sau operațional, leasing.
Spre deosebire de un contract de leasing convențional, leasingul financiar acoperă un set mai complex de relații economice și economice, ale căror participanți nu sunt două, ci trei părți:
companie - producător (furnizor) de utilaje sau echipamente, companie de leasing (locator) și companie utilizator (locatar).

Deși Codul civil al Federației Ruse nu face legătura cu leasingul cu achiziția treptată de către locatarul proprietății bunului închiriat prin plata plăților de leasing, această posibilitate nu este exclusă. Mai mult, valoarea totală a plăților de leasing ar trebui să includă valoarea completă (sau aproape de aceasta) a bunului închiriat la momentul încheierii contractului. În acest caz, închirierea
plata în baza unui contract de închiriere este simultan răscumpărare. Dacă un contract de închiriere este încheiat pentru o perioadă substanțial mai scurtă decât durata de viață standard a proprietății respective, ceea ce implică posibilitatea închirierii repetate a acestor proprietăți, regulile de leasing (leasing financiar) nu se aplică. În Franța și Belgia, condiția ca chiriașul să cumpere echipament la sfârșitul termenului de închiriere este o clauză obligatorie a contractului de leasing, în SUA este inclusă la discreția părților, în Regatul Unit, în schimb, este exclusă de lege.
O caracteristică a componenței părților la un contract de leasing este prezența a trei persoane:
vânzătorul (producătorul) bunului, dobânditorul său - locatorul (locatorul) și locatarul (locatarul). Proprietarul încheie cu vânzătorul bunului destinat închirierii, un contract de vânzare și cu chiriașul - D.fa. Condițiile acestor două contracte sunt interrelaționate și, în esență, locatarul bunului participă la încheierea contractului de vânzare ca persoană interesată. Cu toate că chiriașul nu se află într-o relație contractuală cu vânzătorul bunului, cu toate acestea, este învestit cu el o serie de drepturi și obligații.
Firma care deține licența de închiriere a proprietății acționează ca locator. Locatarul poate fi o persoană juridică angajată în activitate antreprenorială sau un antreprenor individual.
Obiectul contractului - orice obiect care nu este consumabil folosit pentru activitatea antreprenorială, cu excepția terenurilor și a altor lucruri;
obiecte native.
Principala obligație a locatorului este (spre deosebire de contractul de închiriere obișnuit) achiziția bunului ales de locatar de la vânzătorul indicat de acesta în baza contractului de vânzare. Acordul poate prevedea ca alegerea vânzătorului și a proprietății achiziționate să fie făcută chiar de locator.
Subiectul contractului de leasing se transferă direct locatarului vânzătorului bunului și nu locatorului, cu excepția cazului în care contractul însuși nu prevede altfel.
Obligațiile obișnuite ale locatorului (de a efectua reparații majore, de a avertiza chiriașul cu privire la drepturile terților asupra proprietății închiriate și de a rambursa costul convenit cu
el îmbunătățiri inseparabile) din contractul de închiriere sunt păstrate neschimbate. Toate îndatoririle obișnuite ale chiriașului sunt similare. În afară de aceștia, chiriașul riscă să moară accidental sau să afecteze bunurile închiriate.
Dacă vânzătorul și proprietatea sunt aleși de către locatar însuși, proprietarul nu este responsabil pentru deficiențele acestuia. În consecință, locatarul are dreptul să prezinte direct vânzătorului bunului care face obiectul D.P.A., revendicările care decurg din acordul de cumpărare și vânzare încheiat între vânzător și locator. În acest caz, chiriașul are drepturile și obligațiile prevăzute de Codul civil al Federației Ruse pentru cumpărător, cu excepția obligației de a plăti bunurile dobândite, ca și cum ar fi parte la contractul de vânzare a respectivei proprietăți. Cu toate acestea, locatarul nu poate rezilia acordul de vânzare fără acordul locatorului. În relațiile cu vânzătorul, locatarul și locatorul sunt responsabili în solidar. Dacă alegerea vânzătorului a fost făcută de locator, locatarul are dreptul la propria alegere de a prezenta cerințele care apar. din contractul de vânzare, atât direct către vânzătorul bunului, cât și către locator, care răspund în solidar pentru aceasta.
